Terms of Use
Last updated: September 2026
1. Introduction
1.1. Welcome to Kute (the "Platform"), a self-custodial Bitcoin and dollar wallet with access to prediction markets, trading venues and an AI assistant, operated by Rexmo Technologies OÜ ("Rexmo", "Company", "we", "us" or "our"), registered in Tallinn, Estonia.
1.2. Kute provides users with tools to hold, send, receive and convert digital assets through a self-custody model, and an interface to independent third-party venues and services (prediction markets, perpetual and spot trading, cross-chain deposits and bitcoin purchases) that operate their own infrastructure.
1.3. These Terms of Use ("Terms") govern your access to and use of Kute. By accessing or using the Platform, you agree to these Terms.
2. Definitions
- User: any natural or legal person that accesses or uses the Platform.
- Digital Assets: digital representations of value based on blockchain or distributed ledger technology, including Bitcoin, the USDB token and other assets supported by the Platform.
- Self-Custody: a wallet model in which the user retains control over the private keys and recovery credentials required to access and transfer digital assets.
- Lightning Network: a second-layer network built on Bitcoin that enables faster and lower-cost Bitcoin transactions.
- Spark: a Bitcoin-based protocol used to support fast, self-custodial transactions and token issuance on Bitcoin.
- Dollars balance: the balance labelled "Dollars" in the app. It is a holding of USDB, a dollar-denominated token issued on Spark by Orchestra's operator and held in the user's own wallet. It is not a bank deposit, an electronic-money balance or a claim against Rexmo.
- Venue: an independent third-party market or trading platform reachable through Kute, currently Polymarket (prediction markets) and Hyperliquid (perpetual and spot trading).
- Third-Party Services: services made available through infrastructure operated independently from Rexmo and accessible through the Kute interface, including Venues.
3. Nature of the Platform
3.1. Mission
3.1.1. Kute's mission is to provide users with greater autonomy in managing and interacting with digital assets through accessible, non-custodial technology.
3.2. Non-Custodial Wallet
3.2.1. Kute operates on a self-custody model. Users retain control over their private keys and recovery credentials, and transactions are authorised and signed using credentials controlled by the user. Rexmo does not hold or control users' private keys and cannot independently access, transfer, freeze, recover or otherwise dispose of users' crypto-assets.
3.2.2. Keys may be held in one of the following ways, at the user's choice:
- on the user's device, protected by the device's secure storage and, where enabled, a biometric or PIN lock;
- as a passkey wallet, where the wallet seed is derived from a WebAuthn PRF credential through Breez's passkey relying party (keys.breez.technology) and the credential is synced by the device platform's passkey system (for example iCloud Keychain or Android Credential Manager). The user's platform account therefore controls access to that wallet;
- on a paired hardware wallet or offline signer, including Ledger, Blockstream Jade, Keystone, Krux, Passport, SeedSigner and other PSBT-compatible signers such as BitBox02, Trezor and Specter, where the device signs transactions and the keys never enter the phone;
- in a second phone used as an offline signer; or
- as a watch-only wallet imported by extended public key (xpub), which can view balances and build transactions but cannot sign.
3.2.3. Balances held at a Venue (for example, positions on Polymarket or margin and positions on Hyperliquid) are held under that Venue's own smart contracts and rules. The user controls the signing key, but the availability, settlement and withdrawal of those balances depend on the Venue, not on Rexmo.
3.3. Platform Functionality
3.3.1. Kute may provide:
- an interface for viewing, sending and receiving Bitcoin on-chain, over the Lightning Network and over Spark;
- a Dollars balance (USDB on Spark) and conversions between Bitcoin and USDB;
- deposits from other blockchains (for example ETH, SOL or TRX) that arrive as Bitcoin, and sends to other blockchains, routed through Orchestra;
- bitcoin purchases through Cash App, available to users in the United States only;
- "Predictions": access to Polymarket prediction markets;
- "Investing": access to Hyperliquid perpetual and spot markets and to Hyperliquid's HLP vault ("Earn");
- "Ask Sal": an AI assistant that answers questions about markets and the Platform;
- integration with supported blockchain networks and protocols; and
- other functionalities made available through the Platform from time to time.
3.3.2. Rexmo does not operate a cryptocurrency exchange, a prediction market or a trading venue, does not use its own capital to perform crypto-asset exchange transactions and does not act as principal counterparty to transactions performed through independent third-party services.
3.3.3. Kute does not currently offer bank transfers, an IBAN or a payment card. Any such feature described in the app or on the website as "coming soon" is not available until it is released and the applicable provider is identified through the Platform.
3.4. Beta Status
3.4.1. Certain features of Kute may be made available in beta, experimental or pre-release form and may contain bugs, incomplete features, technical instability or unexpected behaviour. Integrations, supported assets, fees, networks and third-party providers may change as the Platform develops, and Rexmo may modify or discontinue beta functionality where reasonably necessary for technical, security, regulatory or operational reasons.
4. Platform Operation
4.1. Transaction Flow
4.1.1. Digital-asset transactions and conversions accessible through Kute may involve blockchain networks and independent third-party providers.
4.1.2. Depending on the functionality used:
- the user initiates and authorises the transaction through the Kute interface, and the transaction or order is signed on the user's device or hardware signer;
- the transaction may be routed to an integrated third-party service according to the asset, network, jurisdiction and technical configuration applicable to the transaction;
- the relevant third-party provider performs its service through infrastructure independent from Rexmo;
- blockchain transactions are processed and settled according to the rules of the relevant network; and
- transaction times, rates, fees and availability may vary according to network and provider conditions.
4.2. Transaction Confirmation and Irreversibility
4.2.1. Before confirming a transaction, the user must verify the asset, amount, destination address, network and other information displayed through the Platform.
4.2.2. Once submitted to a blockchain network or third-party service, transactions may be irreversible. Rexmo cannot reverse, cancel or recover a blockchain transaction solely because the user entered an incorrect address, selected an incorrect network or authorised an incorrect amount.
4.3. Bitcoin Node Selection
4.3.1. For on-chain Bitcoin functionality the app connects to a public Bitcoin data provider chosen by the user in Settings (presets currently include Blockstream, Mempool, Bull Bitcoin, ACINQ, BlueWallet and Hodlister). If the chosen provider is unreachable, the app automatically falls back to the next preset for about fifteen minutes. The user may also configure their own node. The selected provider learns the wallet's addresses or extended public key in order to serve balances and broadcast transactions.
5. Third-Party Services and Providers
5.1. Certain functionalities available through Kute are provided through independent third-party services. Each provider operates independently from Rexmo and may be subject to its own terms of use, fees, eligibility requirements, geographic restrictions, compliance procedures and privacy policies. Where a user accesses a transaction or other third-party service through Kute, the underlying service is provided by the relevant third-party provider. Kute does not act as principal counterparty to such transactions and does not receive, hold or custody users' fiat or crypto-assets in connection with those services. The availability of a Third-Party Service through Kute does not constitute an endorsement, recommendation or guarantee by Rexmo regarding that service, its availability, legality, suitability, performance or regulatory status for any particular user or jurisdiction.
5.2. Breez SDK and Spark. Non-custodial on-chain Bitcoin, Lightning Network and Spark functionality is embedded in Kute through the Breez SDK (Spark implementation). The user retains control over the private keys and recovery credentials required to access and transfer digital assets, and outgoing transactions are authorised using credentials controlled by the user. Passkey wallets rely on Breez's passkey relying party, keys.breez.technology, to derive the wallet seed from the user's passkey. breez.technology, spark.info.
5.3. Orchestra, operated by Flashnet Markets, Inc. (Republic of Panama). Orchestra provides three functions used by Kute:
- USDB. The Dollars balance shown in the app is USDB, a dollar-denominated token issued by Orchestra's operator on Spark and held in the user's own wallet. It is not a custodial fiat balance held by Rexmo. Its value, redeemability and backing are determined by Orchestra's operator under Orchestra's terms, and Rexmo does not guarantee that USDB will hold a value of one US dollar.
- Orchestra AMM. Conversions between Bitcoin and USDB are executed against Orchestra's automated market maker on Spark. Prices depend on pool liquidity at the time of the trade and may include slippage.
- Orchestra. Cross-chain routing used for deposits and sends involving other blockchains (for example ETH, SOL, TRX and other supported chains arriving as Bitcoin at a single address), bitcoin purchases through Cash App (United States only), funding of Predictions and Investing balances, and dollar withdrawals. Orchestra charges its own fees; Kute adds a Kute fee, and both are shown on the transaction ticket before confirmation.
Terms: flashnet.xyz/terms-of-service; documentation: docs.flashnet.xyz.
5.4. Cash App (Block, Inc.). Where available, users in the United States may buy bitcoin with Cash App. The purchase is performed by Cash App under Cash App's own terms and eligibility checks and is delivered to the user's Kute wallet through Orchestra. Rexmo is not a party to the purchase.
5.5. Polymarket ("Predictions"). Prediction markets operated by Polymarket. Orders are signed on the user's device and sent to Polymarket's central limit order book. A Polymarket relayer deploys the user's deposit wallet on Polygon and sets the token approvals needed to trade. Positions and collateral are held as pUSD (USDC.e wrapped by Polymarket's Collateral Onramp) on Polygon, under Polymarket's smart contracts. Kute attaches a builder code to orders, under which Polymarket pays Rexmo a builder fee on trades; users referred through the Affiliate Program trade under a lower-rate builder code. Market availability and regional restrictions, including countries where trading is close-only, are set and enforced by Polymarket. polymarket.com.
5.6. Hyperliquid ("Investing"). Perpetual futures and spot markets on crypto-assets, tokenised stocks and indexes, with leverage up to the limit set by Hyperliquid for each market, and order types including take-profit, stop-loss, trailing stops and TWAP. The "Earn" feature deposits USDC into Hyperliquid's HLP vault, a market-making vault operated by Hyperliquid; deposits are locked for four days after each deposit and can lose value. Balances are funded through HyperCore and Circle's Cross-Chain Transfer Protocol (CCTP). Kute attaches a builder address to orders, under which Hyperliquid pays Rexmo a builder fee. hyperliquid.xyz.
5.7. Ask Sal (xAI). Ask Sal is an AI assistant that answers questions about markets, order types, custody and the Platform. Answers are generated by xAI's Grok model over xAI's API, through Kute's backend. Each wallet may ask up to five questions per day. Where Rexmo enables it, the model may perform live web research. Ask Sal receives only the typed question, the chat history and public market identifiers; it does not receive balances, keys, positions or personal data. Ask Sal is informational only. Its answers may be wrong or out of date and do not constitute investment, legal or tax advice or a recommendation to enter any transaction.
5.8. Retired services. SideShift.ai swaps, BitcoinVN conversions and the Outlogic bank on-ramp are no longer offered through Kute. Historical orders placed through these providers may still be shown in the app's history. Any open matter relating to such an order is governed by the relevant provider's terms.
5.9. Additional Third-Party Services. Additional third-party services, protocols or infrastructure providers may be integrated into or made accessible through Kute from time to time, including services related to digital assets, trading, market-based products or other blockchain-enabled functionality. Their availability may vary according to jurisdiction, user eligibility, technical availability and applicable legal or regulatory restrictions. Where applicable, the relevant provider and the terms governing its service will be identified through the Platform. Access to any such functionality through Kute does not make Rexmo the operator, issuer, market operator, counterparty or service provider of the underlying third-party service, except where expressly stated otherwise.
5.10. Fees and Commercial Arrangements
5.10.1. Transactions may involve blockchain network fees, fees or spreads charged by third-party providers and, where applicable, fees charged by Rexmo. The Kute fee, where one applies, is shown on the transaction ticket before confirmation. Rates, fees and transaction terms may vary according to the relevant provider and market conditions. Rexmo does not guarantee that the terms available through Kute will be the most advantageous terms available in the market, and users should review the applicable transaction information before confirming any operation.
5.10.2. Rexmo receives compensation from third-party providers in connection with services accessed through Kute, including builder fees paid by Polymarket and Hyperliquid on trades placed through Kute and a share of Orchestra swap and conversion fees. Part of this compensation may be shared with affiliates under the Affiliate Program.
5.11. Third-Party Eligibility and Restrictions
5.11.1. Access to a Third-Party Service may depend on the user's location, residence, age, eligibility or other criteria established by the relevant provider or applicable law. Certain services or functionalities may therefore be unavailable, restricted or removed for users in particular jurisdictions. Kute's backend derives an approximate country from the network connection and may disable new trading or deposits for that country; Venues additionally run their own checks.
5.11.2. Users must not attempt to circumvent geographic, eligibility or technical restrictions applicable to any Third-Party Service, including through the use of VPNs, location-masking technologies or inaccurate information regarding their location or eligibility.
5.11.3. Rexmo may restrict, disable or remove access to a Third-Party Service through Kute where reasonably necessary to comply with restrictions imposed by the relevant provider, applicable law, regulatory requirements or risk-management measures.
6. User Responsibilities
6.1. Security and Recovery Credentials
6.1.1. The user is responsible for maintaining the security of their device, private keys, passkeys, hardware signers and recovery credentials and for maintaining a secure backup of wallet recovery information. Loss, theft or compromise of such credentials may result in permanent loss of access to digital assets and, because Rexmo does not control those credentials, Rexmo may be unable to recover the wallet or associated assets.
6.2. Transaction Verification
6.2.1. The user is responsible for verifying wallet addresses, networks, amounts and transaction details before confirmation and for understanding the nature and risks of digital assets and blockchain transactions before carrying out a transaction.
6.3. Security Practices
6.3.1. Users should:
- maintain secure backups of recovery credentials;
- carefully verify all transaction information before confirmation;
- protect devices and access credentials from unauthorised access;
- keep the Platform and device software updated; and
- promptly report suspected security issues involving the Platform.
6.4. Compliance with Applicable Law
6.4.1. The user is responsible for ensuring that their use of the Platform complies with applicable laws and regulations and for reviewing the terms applicable to any third-party service accessed through Kute.
7. Risks
7.1. Digital Asset and Blockchain Risks
7.1.1. By using Kute, the user acknowledges that digital assets and blockchain technology involve risks, including:
- significant price volatility;
- irreversible blockchain transactions;
- network congestion, delays, forks or outages;
- changes in network or protocol rules;
- variable network and provider fees;
- software bugs, technical failures or vulnerabilities;
- interruption or failure of third-party integrations;
- regulatory changes affecting particular assets, networks or services; and
- permanent loss of access resulting from loss or compromise of private keys or recovery credentials.
7.1.2. Kute does not guarantee profitability, investment returns or the future value of any digital asset.
7.2. Dollars Balance (USDB)
7.2.1. USDB is a token issued by Orchestra's operator. It is not legal tender, a bank deposit or an insured balance. Its value may deviate from one US dollar, and its redeemability depends on Orchestra's operator. Conversions between Bitcoin and USDB are executed against an automated market maker and may be subject to slippage.
7.3. Prediction Markets
7.3.1. Positions in prediction markets can lose their entire value. Market resolution is determined by Polymarket under its rules, and disputes are resolved by Polymarket's resolution process, not by Rexmo. Collateral is held under Polymarket's smart contracts on Polygon.
7.4. Leveraged and Spot Trading
7.4.1. Perpetual futures are leveraged derivatives. Losses can exceed the margin posted and positions may be liquidated automatically when the margin falls below the venue's maintenance requirement. Funding payments, liquidation fees and price gaps can cause losses larger than the user expected. Tokenised stocks and indexes traded on Hyperliquid are derivatives and do not confer ownership of the underlying shares. Deposits into the HLP vault ("Earn") are locked for four days after each deposit, earn no guaranteed return and can lose value. Leveraged trading is not suitable for everyone; users should only trade with funds they can afford to lose.
7.5. AI Assistant
7.5.1. Ask Sal generates text with a language model. It may contain errors, omissions or outdated information. Users must not rely on it as the sole basis for any financial decision.
8. Eligibility, Jurisdiction and Acceptable Use
8.1. Eligibility
8.1.1. Users must be at least 18 years old and have legal capacity to accept these Terms.
8.2. Jurisdictional Restrictions
8.2.1. Kute and integrated third-party services may not be available in all jurisdictions. Third-party services are subject to the territorial, sanctions, eligibility and compliance restrictions applicable to the relevant provider, and Rexmo respects the jurisdictional restrictions applicable to each integrated service.
8.3. Prohibited Uses
8.3.1. Users may not use Kute:
- for unlawful, fraudulent or abusive purposes;
- for money laundering, terrorist financing or sanctions evasion;
- to conceal or misrepresent the origin or destination of assets;
- to circumvent geographic or technical restrictions applicable to a service;
- to gain unauthorised access to systems or infrastructure;
- to introduce malware or interfere with Platform security; or
- in any manner that violates applicable law or the rights of third parties.
8.3.2. Rexmo may restrict access to particular functionalities where reasonably necessary for security, fraud prevention, legal, sanctions, regulatory or operational reasons.
9. No Investment or Professional Advice
9.1. Kute provides software and technical functionality related to digital assets. Market information, prices, probabilities, market data, Ask Sal answers and other information displayed through the Platform are provided for informational or transactional purposes and do not constitute investment, financial, legal or tax advice, an investment recommendation, or a recommendation to acquire, sell, hold or otherwise enter into any particular transaction or position.
9.2. Users remain responsible for their own decisions and should seek independent professional advice where appropriate.
10. Intellectual Property
10.1. Open-Source Components
10.1.1. Kute may include open-source software governed by the terms of the applicable open-source licences. Nothing in these Terms limits rights granted under an applicable open-source licence.
10.2. Rexmo Proprietary Materials
10.2.1. Except for open-source components and third-party materials, Rexmo owns or licenses the Kute trademarks, logos, branding, visual identity, proprietary backend systems, technical documentation and other proprietary materials.
10.2.2. Users may not use Rexmo's trademarks, branding or proprietary materials without prior authorisation, except where permitted by applicable law.
11. Privacy and Data Protection
11.1. Personal data processed by Rexmo in connection with Kute is handled in accordance with the Kute Privacy Policy and applicable data protection law. Independent third-party providers may separately process personal data in connection with the services they provide, subject to their own privacy notices and applicable law.
12. Service Availability and Changes
12.1. Rexmo may update, modify, replace, suspend or discontinue functionalities where reasonably necessary for technical, security, legal, regulatory or operational reasons. Blockchain networks and third-party services may also change or become unavailable independently from Rexmo. Where required by applicable law, Rexmo will provide reasonable notice of material changes.
13. Limitation of Liability
13.1. To the maximum extent permitted by applicable law, Rexmo shall not be responsible for losses arising from risks inherent to the use of non-custodial wallets, blockchain networks, digital assets, prediction markets, leveraged trading or independent third-party services, or from circumstances outside Rexmo's reasonable control, including:
- failures, interruptions or changes affecting blockchain networks, protocols, smart contracts, Venues or independent third-party services;
- transactions authorised by the user using incorrect addresses, networks, assets or amounts;
- loss, theft or compromise of devices, private keys, passkeys, hardware signers, recovery credentials or other credentials under the user's control;
- changes in the market price or value of Digital Assets, including USDB, liquidation of leveraged positions and resolution of prediction markets;
- network congestion, forks, outages, latency or processing delays;
- unauthorised access resulting from the user's failure to protect their device or credentials;
- software bugs, technical errors, vulnerabilities or unexpected behaviour affecting the Platform or third-party software, protocols or infrastructure on which the Platform depends;
- errors or omissions in information generated by the Ask Sal assistant; and
- cyberattacks, malicious software or unauthorised acts of third parties that Rexmo could not reasonably prevent.
13.2. To the maximum extent permitted by applicable law, Rexmo shall not be liable for indirect, incidental, special or consequential losses, including loss of profits, revenue, opportunity or anticipated gains, to the extent such losses were not reasonably foreseeable or are otherwise capable of exclusion under applicable law.
13.3. Rexmo does not guarantee that the Platform, blockchain networks or independent third-party services will operate continuously, without interruption or without errors. The availability and operation of third-party networks, protocols and services may depend on circumstances outside Rexmo's control.
13.4. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
14. General Provisions
14.1. Assignment
14.1.1. You may not assign or transfer these Terms, or any rights or obligations provided herein, without our prior written consent. Any assignment or transfer made in violation of this clause shall be considered null and void. We may assign these Terms without your consent: (a) in the event of a merger, acquisition or sale of all or substantially all of our assets; or (b) to any affiliate or as part of a corporate reorganization.
14.2. Entire Agreement
14.2.1. These Terms incorporate, by reference, the Kute Privacy Policy and any additional policies or terms expressly applicable to the Platform and constitute the entire agreement between you and us regarding the use of Kute. In case of inconsistency, these Terms shall prevail unless otherwise expressly provided.
14.3. Force Majeure
14.3.1. Neither party, nor its affiliates, shall be liable for delays or failures in fulfilling its obligations under these Terms resulting from causes beyond the reasonable control of the party, including but not limited to natural disasters, telecommunications or utility failures, cyberattacks, pandemics, blockades, embargoes, riots, government orders, acts of terrorism or war.
14.4. Sanctions and Applicable Law
14.4.1. Users shall comply with all applicable import, re-import, sanctions, export control and re-export laws and regulations, including those prohibiting certain transactions, and are responsible for ensuring that their use of the Platform complies with such requirements.
14.5. Independent Relationship
14.5.1. Rexmo and the user are independent parties, and these Terms shall not be construed as creating a partnership, joint venture, agency relationship, employment relationship or fiduciary relationship. Neither party or its affiliates is an agent of the other for any purpose or has authority to bind the other.
14.6. Personal Data, Identification and KYC
14.6.1. Kute does not require or collect end users' national identification documents, banking credentials or other identity-verification information for the provision of its non-custodial wallet functionality. Any collection and processing of personal data related to payments, identification, identity verification, KYC or compliance carried out in connection with independent third-party services (for example, Cash App purchases or Venue eligibility checks) is performed by the relevant integrated provider, in accordance with its own privacy policies and applicable law. Any personal data processed directly by Kute is handled in accordance with the Kute Privacy Policy.
14.7. Regulatory Responsibilities of Third-Party Providers
14.7.1. Each integrated third-party provider is independently responsible for compliance with the anti-money laundering, counter-terrorist financing, sanctions, identification, verification, regulatory compliance and mandatory reporting obligations applicable to the services provided by that provider.
14.7.2. To the maximum extent permitted by applicable law, Kute is not responsible for failures, omissions or non-compliance by independent third-party providers with obligations applicable to the services independently provided by them, nor for acts or omissions of users in violation of applicable law or these Terms.
14.8. Changes to These Terms
14.8.1. Kute reserves the right to modify these Terms from time to time. Where required by applicable law, users will be provided with reasonable prior notice of material changes.
15. Governing Law and Jurisdiction
15.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Estonia.
