Affiliate & Partner Program Terms

1. Introduction

1.1. These Affiliate & Partner Program Terms ("Affiliate Terms") govern participation in the Kute Affiliate and Partner Program (the "Program"), operated by Rexmo Technologies OÜ ("Company", "we", "us"), operator of the Kute platform ("Platform").

1.2. These Affiliate Terms supplement the Kute Terms of Use and Privacy Policy. By participating in the Program, you agree to these Affiliate Terms and the documents incorporated by reference.

1.3. If a specific promotion, Reward or partner arrangement is subject to additional written terms ("Program Details"), those Program Details will apply to that promotion or arrangement. Where a separate written Partner Agreement is entered into with Rexmo, that Partner Agreement will prevail in the event of any conflict with these Affiliate Terms.

1.4. Program Availability

1.4.1. The Program, individual rewards, tiers and promotional benefits may be made available at different times and in different jurisdictions.

1.4.2. Current reward rates, eligibility criteria and benefits will be displayed through Kute, the applicable affiliate interface or other Program Details.

1.4.3. A feature or benefit that has not yet been released becomes available only if and when the relevant product or benefit is launched and made available to the participant.

1.4.4. Changes to Reward rates, tiers or eligibility criteria apply prospectively in accordance with Section 11.

2. Definitions

2.1. Affiliate: an eligible Kute user who receives a personal referral link or referral code and uses it to introduce new users to Kute.

2.2. Referee: a person whose Kute wallet is attributed to an Affiliate through the applicable referral mechanism.

2.3. Verified Referral: a genuine, unique referral that satisfies the eligibility and attribution requirements applicable to the Program and passes Rexmo's reasonable anti-fraud and verification checks.

2.4. Referred Wallet: a Kute wallet that is bound to an Affiliate's referral code as a Verified Referral. Tiers under Section 5.2 are counted in Referred Wallets, regardless of whether the wallet has transacted.

2.5. Eligible Fees: the net fees or commercial revenue actually earned and retained by Rexmo from eligible activity attributable to a Referee, excluding:

• amounts payable to independent third-party providers;
• blockchain or network fees;
• taxes;
• refunds, reversals or cancelled transactions;
• the principal value of a user's Digital Assets or transactions; and
• any other amount expressly identified as excluded in the applicable Program Details.

2.6. Partner: an individual, business, community, platform, organisation or other eligible participant that enters into a separate written Partner Agreement with Rexmo.

2.7. Reward: any commission, revenue share, discount, promotional benefit or other incentive offered under the Program.

3. Eligibility

3.1. Standard Affiliate Participation

3.1.1. To participate as an Affiliate, you must:

• be at least 18 years old and have legal capacity to enter into these Affiliate Terms;
• be eligible to use Kute under the Terms of Use;
• participate from a jurisdiction in which the Program is available;
• not be subject to sanctions or other legal restrictions that prohibit Rexmo from providing the Program to you; and
• participate in good faith and for the intended purpose of the Program.

3.1.2. Subject to eligibility and technical availability, each Kute user who creates a wallet automatically receives a unique referral link and referral code and may participate in the Program under the standard affiliate terms without a separate application or enrolment process. Enrolment is tied to the wallet: the app authenticates to the Program by signing a challenge with the wallet's key, and no Telegram, email or social login is used.

3.1.3. Receipt of a referral link or referral code does not guarantee eligibility for a Reward unless the applicable eligibility, attribution and verification requirements are satisfied.

3.2. Partner Arrangements

3.2.1. Eligible individuals, businesses, communities, platforms and other organisations may participate as Partners under a separate written Partner Agreement with Rexmo.

3.2.2. The applicable commission rate, attribution model, reporting requirements, payment terms and promotional conditions will be established in the relevant Partner Agreement.

4. Referral Attribution

4.1. A user's unique referral link or referral code is made available through Kute or the applicable affiliate interface.

4.2. A referral is attributed to an Affiliate only where the Referee's wallet is bound to that Affiliate's referral code, either automatically through the referral link (install attribution) or by the Referee entering the code in the app.

4.3. A referral code can be bound to a wallet only within 7 days of the wallet's creation. A wallet that already has a referrer cannot be re-bound, and a wallet cannot enter its own code. After the 7-day window the wallet remains unreferred.

4.4. A Verified Referral must represent a genuine first-time user or other eligible user expressly permitted under the applicable Program Details.

4.5. Duplicate wallets, self-referrals, automated installations, fabricated users, manipulated attribution, sybil activity and other non-genuine referrals are not eligible.

4.6. Unless otherwise stated in the applicable Program Details, referral attribution is single-level. Affiliates earn Rewards only from wallets directly attributed to them and do not earn from subsequent users referred by their Referees.

4.7. Rexmo may use reasonable technical and anti-fraud measures to determine referral attribution and eligibility.

5. Affiliate Rewards

5.1. Referee Benefits

5.1.1. Eligible Referees may receive promotional benefits made available through the Program.

5.1.2. A Referee whose wallet is bound to a valid referral code receives a discount on the Kute fee charged on Orchestra orders: Bitcoin/USDB conversions, cross-chain deposits and sends, Cash App purchases and venue funding. Rexmo sets the size of the discount and may change it for future orders; the discounted fee is shown in the app before each order is confirmed. The discount is funded from Rexmo's own fee and applied automatically; it does not reduce fees charged by third-party providers or blockchain networks.

5.1.3. The discount does not apply to trading. Builder fees on Hyperliquid trades are charged at the standard rate, and fees on Polymarket trades are set and charged by Polymarket, not by Rexmo.

5.1.4. The discount previously offered on SideShift.ai swaps no longer exists, as that integration has been retired.

5.2. Revenue Share

5.2.1. Affiliates earn a percentage of Eligible Fees generated by their Referred Wallets, starting at a standard revenue-share rate of 5%, subject to the eligibility, attribution and verification requirements of the Program.

5.2.2. Eligible Fees currently arise from the following sources of Rexmo revenue on a Referred Wallet's activity. Builder fees connected to Polymarket or Hyperliquid trades are not Eligible Fees.

• Rexmo's share of Orchestra swap fees on the Referee's Bitcoin/USDB conversions; and
• Kute fees on the Referee's Orchestra orders (cross-chain deposits and sends, Cash App purchases and venue funding).

5.2.3. Unless otherwise stated in the applicable Program Details, the revenue-share tiers are:

• Fewer than 50 Referred Wallets: 5% of Eligible Fees;
• 50 or more Referred Wallets: 10% of Eligible Fees;
• 100 or more Referred Wallets: 20% of Eligible Fees.

5.2.4. The applicable tier is determined by the number of Referred Wallets bound to the Affiliate's code, whether or not those wallets have transacted. A rate only moves up through the tiers; it is not lowered if Referred Wallets are later removed for fraud, but the Rewards from such wallets are subject to Section 10. Rexmo may set a higher rate for a particular participant by written agreement, up to the Program maximum of 25%.

5.2.5. The rate in force when an eligible order completes is the rate applied to that order. Later changes to the rate do not reprice earlier earnings.

5.2.6. Revenue share applies only to Eligible Fees and does not give the Affiliate any ownership, economic interest or entitlement in the assets or transactions of a Referee.

6. Partner Arrangements

6.1. Eligible Partners may receive a share of Eligible Fees generated by wallets attributed to them. Partner arrangements may provide for a revenue share of up to 25% of Eligible Fees, set manually by Rexmo for that Partner and established in the relevant Partner Agreement. The 25% figure is the maximum the Program supports for any participant.

6.2. Partner rates, attribution periods, reporting requirements, marketing rights, compliance obligations, payment schedules and termination rights may differ from the standard Affiliate Program terms and will be governed by the applicable Partner Agreement.

7. Payouts

7.1. Rewards are calculated in US dollars and paid in Bitcoin over the Lightning Network to the wallet's own Lightning address in the form [email protected], which is registered automatically when the wallet enrols in the Program. Rexmo does not maintain a custodial Reward balance on behalf of participants; accrued Rewards are an accounting entry until paid.

7.2. Payouts are processed by Rexmo, not automatically on a fixed calendar. A payout covers the participant's accrued and verified balance, subject to the verification and processing requirements established under the Program. Rexmo aims to process payouts regularly and shows accrued, owed and paid amounts in the app.

7.3. The Bitcoin amount paid is determined by the BTC/USD rate at the time of payment. The fiat value of a Bitcoin Reward may fluctuate between the time the Reward is calculated and the time it is received or converted by the participant.

7.4. Rexmo may establish reasonable minimum payout thresholds, processing periods and temporary holding periods necessary for fraud, error, reversal or compliance checks. Applicable payment details will be displayed through Kute, the affiliate interface or the applicable Program Details.

7.5. Payouts are sent to the Lightning address of the enrolled wallet. Participants are responsible for keeping that wallet accessible and able to receive Lightning payments. Rexmo is not responsible for a payout that cannot be delivered because the participant no longer controls the wallet, subject to mandatory applicable law.

7.6. Verification

7.6.1. Rexmo may request information or documentation reasonably required to verify eligibility, prevent fraud, comply with tax reporting requirements, sanctions or other applicable legal obligations before releasing a Reward.

7.6.2. A Reward may be withheld while required verification remains incomplete.

7.6.3. Where verification cannot be completed, Rexmo may cancel or decline the Reward where required or permitted by applicable law and these Affiliate Terms.

8. Advertising and Promotional Conduct

8.1. Affiliate Disclosure

8.1.1. Affiliates and Partners must clearly and prominently disclose their commercial relationship with Kute whenever promoting Kute or sharing referral links in circumstances where they may receive a Reward.

8.1.2. Promotional content must be clearly identifiable as advertising, sponsored content or affiliate promotion where required by applicable law or platform rules.

8.1.3. The disclosure must be visible and understandable to the audience and must not be hidden, ambiguous or presented only after the promotional message.

8.2. Fair and Accurate Communications

8.2.1. All promotional communications concerning Kute must be fair, clear and not misleading.

8.2.2. Participants must not:

• make false or misleading statements about Kute, Rexmo or an integrated service;
• claim or imply guaranteed profits, guaranteed returns or risk-free crypto-asset, prediction-market or leveraged-trading activity;
• make misleading statements regarding the price, value or future performance of Digital Assets;
• misrepresent Rexmo's regulatory, licensing or authorisation status;
• represent that Kute or Rexmo guarantees the performance, pricing or availability of an independent third-party service;
• present themselves as employees, agents or authorised representatives of Rexmo;
• provide commitments, warranties or guarantees on behalf of Rexmo; or
• publish information that contradicts the Kute Terms of Use or official information provided by Rexmo.

8.3. Promotional Materials and Brand Use

8.3.1. Participants may use Kute names, trademarks, logos and promotional materials only for the purpose of participating in the Program and in accordance with any brand guidelines provided by Rexmo.

8.3.2. Participants may not:

• register or use domain names, social-media usernames or accounts that impersonate Kute or Rexmo;
• alter Rexmo promotional materials in a manner that makes them misleading;
• bid on Rexmo or Kute trademarks in paid advertising without prior written permission;
• purchase paid search, social-media or other advertising using Kute branding without authorisation where Rexmo has restricted such activity; or
• create the impression that an Affiliate-operated website, account or channel is an official Rexmo or Kute communication channel.

8.4. Restricted Promotion

8.4.1. Participants must not promote Kute:

• to persons under 18;
• in jurisdictions in which the relevant Program or promoted service is unavailable or prohibited, including promoting Predictions or Investing to audiences in countries where Polymarket or Hyperliquid restrict access;
• through unsolicited bulk messages or unlawful spam;
• through deceptive, abusive or manipulative marketing practices; or
• on websites or channels containing unlawful content or content that materially conflicts with Rexmo's brand and compliance standards.

9. Prohibited Conduct and Abuse

9.1. Participants must not:

• self-refer, including by creating additional wallets and binding them to their own code;
• create or use fake, duplicate or automated users;
• use bots, scripts, click farms or sybil networks;
• use stolen, fabricated or misleading identities;
• manipulate tracking or attribution systems;
• generate artificial activity solely to obtain Rewards;
• induce users to engage in transactions they would not otherwise undertake solely for the purpose of generating Affiliate revenue;
• conceal the participant's financial interest in a referral;
• violate third-party platform rules when distributing referral links; or
• otherwise exploit the Program contrary to its intended purpose.

10. Verification, Adjustment and Clawback

10.1. Rewards are subject to verification and are not final until the applicable qualifying criteria have been satisfied and the Reward has been approved for payment.

10.2. Rexmo may reasonably withhold, adjust, cancel or reverse a Reward that results from:

• fraud or abuse;
• manipulation of the Program;
• attribution or calculation error;
• refunded, reversed or cancelled underlying activity;
• violation of these Affiliate Terms or the Terms of Use;
• unlawful promotional activity; or
• activity that was not eligible under the applicable Program Details.

10.3. Where a Reward has already been paid and is later reasonably determined to have arisen from fraud, material error or prohibited activity, Rexmo may offset the relevant amount against future Rewards or seek repayment where permitted by applicable law.

10.4. Rexmo will not retroactively reduce valid Rewards solely because a future reward rate or tier is changed.

11. Changes, Suspension and Termination of the Program

11.1. Rexmo may modify, suspend or discontinue the Program, a particular Reward, tier or promotional benefit for business, technical, legal, compliance or operational reasons.

11.2. Changes to reward rates or eligibility criteria apply prospectively from their effective date unless a retroactive change is required by law or is necessary to correct fraud or material error.

11.3. Where reasonably practicable and required by applicable law, Rexmo will provide notice of material changes.

11.4. Rexmo may suspend or terminate a participant from the Program for:

• breach of these Affiliate Terms;
• violation of the Kute Terms of Use;
• fraud, abuse or manipulation;
• unlawful or misleading promotional activity;
• sanctions or legal restrictions; or
• conduct that creates material legal, regulatory, security or reputational risk to Rexmo.

12. Taxes

12.1. Participants are responsible for determining and satisfying taxes, declarations and reporting obligations arising from Rewards they receive, except where Rexmo is legally required to withhold, report or remit an amount.

12.2. Rexmo may request information reasonably required to comply with applicable tax reporting or withholding obligations.

12.3. Rexmo does not provide tax advice.

13. Privacy

13.1. Personal data processed in connection with the Program is handled in accordance with the Kute Privacy Policy.

13.2. Participation in the Program requires processing of the wallet's public key, its paykute.com Lightning address, referral codes, attribution identifiers and the provider order records needed for attribution, fraud prevention, reward calculation, payments, compliance and administration of the Program, as described in the Privacy Policy.

14. Relationship Between the Parties

14.1. Participation in the Program does not create an employment, agency, partnership, franchise, fiduciary or joint-venture relationship between the participant and Rexmo.

14.2. Affiliates and Partners act independently and have no authority to:

• bind Rexmo;
• enter into agreements on Rexmo's behalf;
• make representations or warranties on Rexmo's behalf; or
• represent themselves as employees or legal representatives of Rexmo.

14.3. Participation in the Program is non-exclusive unless otherwise agreed in writing.

15. Limitation of Liability

15.1. The Program is subject to the availability of Kute, third-party services, blockchain networks and the technical systems used for referral attribution and payout processing.

15.2. To the maximum extent permitted by applicable law, Rexmo does not guarantee any minimum number of referrals, level of activity, amount of Eligible Fees or value of Rewards.

15.3. Nothing in these Affiliate Terms excludes or limits any liability or mandatory right that cannot lawfully be excluded or limited.

16. General Provisions

16.1. If any provision of these Affiliate Terms is found to be invalid or unenforceable, the remaining provisions remain in effect.

16.2. Failure by Rexmo to enforce a provision does not constitute a waiver of that provision.

16.3. These Affiliate Terms, together with the Terms of Use, Privacy Policy and applicable Program Details, constitute the terms governing participation in the Program.

16.4. In the event of inconsistency between general promotional materials and these Affiliate Terms, these Affiliate Terms prevail.

17. Governing Law and Consumer Rights

17.1. These Affiliate Terms are governed by the laws of the Republic of Estonia, subject to any mandatory rights that apply under the laws of the participant's habitual residence.

17.2. Disputes are subject to the dispute-resolution provisions of the Kute Terms of Use.
